Welcome to the Amazon Developer Services Portal (the ”Portal”). Amazon.com LLC Services, Amazon Media EU S.a.r.l. and/or their affiliates (”Amazon” or ”we”) provide the Portal to you (if you use a natural person or register as an individual) or the legal entity you represent (if you use it or register as a business) (”you”) subject to the following terms of use (”Terms”) for your use under our Amazon Developer Services Program. (”Developer Program”). By visiting the Portal or registering as a user of the Portal, you accept the Terms and represent that you are authorized to bind yourself or the company you represent to the Terms. The Terms, together with all Amazon Developer Services Agreements (”Developer Agreements”) and non-disclosure agreements between you and Amazon, constitute the entire agreement between you and Amazon with respect to your use of the Portal. In the event of any conflict between these Terms and the Developer Agreement, the terms of the Developer Agreement shall apply. Unless you have obtained our express written permission, you will not use any trademark, service mark, trade name, trade symbol, domain, trade dress or other proprietary rights from us (or any variation thereof), issue press releases or other advertisements about us, the Program or this Agreement, or refer to us in promotional materials.You will not assume or attempt to register any proprietary rights on our part (or any variation thereof). Fees and payment. You will pay us the applicable fees and charges for the use of moments Materials in Moments Campaigns (”Fees”) as set forth in our Developer Portal or otherwise agreed between you and us. For some Moments Campaigns, you may specify the dollar amount you pay for each End User Action you designate (this Promotion, the ”Promotion”, and this Dollar Amount, the ”Cost per Promotion”), and you will be charged a fee equal to the cost per Promotion for each End User who runs the Promotion and for whom we provide you with a reward code (as defined below). For example, if you tell us that you pay $1 for each End User who completes level ten of your Game (the Promotion), we will charge you $1 for each End User who completes level Ten and for whom we generate and send you a reward code. We reserve the right to change the fees for any feature of the Moments Service at any time at our discretion, which will take effect immediately when we post it, but such change will not apply to Moments campaigns initiated prior to such a fee change. We calculate and charge the fee monthly. We may charge you accrued fees more frequently if we suspect that your account is fraudulent or may not pay. Fees are calculated by us at our sole discretion. You will pay us the applicable fees for using the Moments Service using one of the payment methods we support. All amounts you pay under this Schedule will be paid to us without set-off or counterclaim and without deduction or withholding. We may choose to charge you interest at the rate of 1.5% per month (or the highest rate permitted by law, whichever is lower) on any late payment.
We may also withhold and set off any amount you owe us against any amount payable to you. If you suspect or become aware of any security breach related to your content or devices that could harm the Program or end users` use of or access to the Program, you will notify us immediately and take all appropriate steps to address that vulnerability, including by working with us.
